Most partnership disputes in Delhi are governed by the Indian Partnership Act, 1932 — but the details of your partnership deed, and whether your firm is registered, decide what remedies are actually open to you.

Registration Isn't Mandatory — But It Decides Your Remedies

Registering a partnership firm under the Indian Partnership Act is optional, but an unregistered firm and its partners face serious restrictions on their ability to sue — this is the single most important fact to establish before any dispute is litigated.

Dissolution & Accounts Remain Open Regardless

Even if a firm was never registered, partners retain the right to sue for dissolution of the firm and for rendition of accounts of a dissolved firm — the law's built-in exception to the registration bar.

The Partnership Deed Controls the Details

Profit-sharing ratios, grounds for expulsion, retirement notice periods, and dispute resolution clauses are all governed first by your partnership deed, and only fall back on the Act's default rules where the deed is silent.

Commercial Courts Act May Apply

Where a partnership dispute meets the specified value threshold, it can be tried on the faster commercial track under the Commercial Courts Act, 2015, rather than as an ordinary, slower-moving civil suit.

⚖ Why Firm Registration Comes First in Every Case We Take

On January 17, 2025, the Supreme Court held in Sunkari Tirumala Rao & Ors. v. Penki Aruna Kumari that Section 69(1) of the Indian Partnership Act is mandatory in character — a partner of an unregistered firm simply cannot maintain a suit against another partner to enforce a contractual right, even where the firm's business had not yet commenced. The exceptions for dissolution and accounts remain, but everything else can be shut out at the threshold. We check your firm's registration status before advising on any strategy.

Generally, no. Section 69(1) of the Indian Partnership Act, 1932 bars a partner of an unregistered firm from filing a suit to enforce a contractual or statutory right against the firm or another partner. The Supreme Court reaffirmed this mandatory bar in Sunkari Tirumala Rao v. Penki Aruna Kumari (2025 INSC 92, decided January 17, 2025). The main exceptions are suits for dissolution of the firm and rendition of accounts of a dissolved firm, which remain maintainable even if the firm was never registered.

Partnership disputes fall within the specific categories of "commercial dispute" listed in the Commercial Courts Act, 2015, provided the specified value of the claim meets the applicable pecuniary threshold. Where it qualifies, the dispute is heard on the faster commercial track rather than as an ordinary civil suit.

Yes, if the partnership deed contains a valid arbitration clause covering the dispute. Many partnership deeds include such clauses, in which case a court will typically refer the parties to arbitration under Section 8 of the Arbitration and Conciliation Act if either party raises the objection, rather than trying the dispute itself.

On dissolution, the Indian Partnership Act sets out the order in which firm assets are applied — first to third-party debts, then to advances made by partners, then to return of capital, with any surplus divided among partners according to their agreed profit-sharing ratio. A rendition of accounts suit is typically required to establish exactly what each partner is owed before final division.
